01These terms, and your acceptance of them

These terms form a binding contract between [Registered entity name, e.g. Workfly Technologies Pvt. Ltd.] (“Workfly”, “we”) and the person or organisation using our services (“you”, “Client”), under the Indian Contract Act, 1872.

You accept them by registering an account, submitting a hiring requirement, paying an advance, or using any Workfly product. If you accept on behalf of an organisation, you confirm you are authorised to bind it.

Where you and Workfly have signed a separate written agreement, that agreement prevails over these terms to the extent of any conflict.

03What we provide

  • Recruitment and staffing — technical, non-technical, volume and executive hiring.
  • Managed recruitment, where we operate the hiring desk on your behalf.
  • Workforce services — payroll processing support, HR operations, vendor and tender coordination.
  • Software subscriptions — the Workfly Recruitment CRM and Workfly HRMS.

What we do not promise

Recruitment is a service of effort, not of result. We do not warrant that a Mandate will be filled, that a candidate will accept an offer or remain in employment, or that a stated timeline will be met — timelines are estimates based on role complexity and market conditions.

04Accounts and account security

  1. 01You must give accurate registration details and keep them current.
  2. 02You are responsible for everything done under your account credentials. Keep them confidential and do not share logins between individuals.
  3. 03Tell us promptly at the address below if you suspect unauthorised access.
  4. 04We may suspend an account where we reasonably believe it has been compromised, is being used unlawfully, or where fees are overdue.

05How a mandate runs

  1. 01You submit a requirement with the role, skills, experience, location, working pattern and Annual CTC.
  2. 02We analyse it against market conditions and return a hiring-difficulty read, an indicative timeline and a fee estimate.
  3. 03Estimates displayed on the website are indicative until we confirm them after analysis.
  4. 04You pay the applicable Advance or Booking amount.
  5. 05The Mandate activates and receives a Requirement ID. Sourcing begins.
  6. 06Shortlisted profiles are shared through your dashboard. You give feedback, interview, and decide.
  7. 07On Joining, the balance of the Recruitment Fee becomes payable and we raise an invoice.

06Fees, taxes and payment

Recruitment Fee

8.33% of Annual CTC, charged per successful Joining. Applicable taxes are charged in addition. Fee percentages may be varied for specific roles, volumes or campaigns by written agreement.

Worked example
ComponentAmount
Annual CTC₹6,00,000
Recruitment Fee at 8.33%₹49,980
Advance at 10%₹4,998
Booking at 15%₹7,497

Taxes

All fees are exclusive of GST and any other applicable tax, which is charged at the prevailing rate. Where you are required to deduct tax at source, you must furnish the certificate within the statutory period.

Payment terms

  • Invoices are payable within the period stated on the invoice.
  • Payment is by UPI, net banking, debit or credit card, or an agreed corporate method.
  • Overdue amounts may attract interest at the rate stated on the invoice, and we may suspend active Mandates until settled.
  • Fees are payable on a Joining irrespective of how the candidate was introduced, if we introduced them first and the Joining occurs within the period stated in your commercial agreement.

07Replacement

Where your commercial agreement provides for it, and where the Recruitment Fee has been paid in full, we will source a replacement at no additional professional fee if the candidate leaves or is terminated within the Replacement Period.

Replacement does not apply where the candidate leaves because of:

  • Redundancy, restructuring or closure of the role.
  • A material change to the role, compensation or location from what was represented at offer.
  • Non-payment or delayed payment of the candidate's salary.
  • Conduct by the Client that would entitle the candidate to resign.

A replacement claim must be raised through your dashboard within the Replacement Period. Replacement is provided in place of a refund, not in addition to one.

08Software subscriptions

  1. 01Products are licensed, not sold. You receive a non-exclusive, non-transferable right to use them for your own business during the subscription term.
  2. 02Fees are billed per user or on the stated basis, in advance for the chosen period.
  3. 03You must not reverse engineer, resell, sublicense or provide the Products as a service to third parties without our written consent.
  4. 04Integration availability depends on your plan and on third-party services we do not control.
  5. 05We may modify or discontinue features. Where a change materially reduces functionality you rely on, we will give reasonable notice.
  6. 06We may suspend access for non-payment, or where use threatens the security or stability of the platform.

09Your responsibilities

  • Give accurate role information. An inaccurate job description or CTC produces an inaccurate estimate and wasted candidate time.
  • Deal with candidates lawfully and without discrimination on any ground protected by law.
  • Give interview feedback within a reasonable period so candidates are not left waiting.
  • Hold candidate data securely, use it only to assess for the role it was shared for, and delete it when that purpose ends.
  • Tell us promptly when a candidate is offered, joins, or declines — the fee and the replacement clock both depend on it.
  • Ensure you have the lawful basis to load employee data into a Workfly Product, and that your own privacy notice covers it.

10Acceptable use

You must not use Workfly or its Products to:

  • Post a role that does not exist, or collect candidate data without intending to hire.
  • Advertise work that is unlawful, unsafe, or involves forced or child labour.
  • Charge candidates a fee for consideration or placement.
  • Upload malware, attempt to breach access controls, or probe the platform's security without written authorisation.
  • Scrape, bulk-export or resell candidate data.
  • Impersonate another person or organisation.

We may suspend or terminate access immediately for a breach of this clause, and report unlawful conduct to the appropriate authority.

11Data protection

Each party complies with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 in performing this agreement.

  • For candidate data we source and hold, Workfly is the Data Fiduciary.
  • For employee data you load into a Workfly Product, you are the Data Fiduciary and Workfly is a Data Processor, acting only on your documented instructions.
  • Once a candidate’s data is shared with you for assessment, you become a Data Fiduciary in your own right for your use of it, and answer for that use.

We notify you without undue delay of any personal data breach affecting data we process for you, so you can meet your own obligations. Our Privacy Policy sets out the full breach procedure and the applicable reporting deadlines.

12Confidentiality and intellectual property

Confidentiality

Each party keeps the other’s non-public information confidential and uses it only to perform this agreement. The obligation survives termination and does not apply to information that is public through no breach, was already lawfully held, or must be disclosed by law.

Intellectual property

Workfly retains all rights in its platform, software, brand and materials. You retain all rights in the content you supply. Nothing in this agreement transfers ownership of either.

13Warranties, liability and indemnity

Our warranty

We provide the services with reasonable skill and care. Beyond that, and to the extent the law permits, the services are provided as-is and we exclude implied warranties of merchantability and fitness for a particular purpose.

Candidate verification

We screen candidates against the brief and pass on what they tell us. We do not guarantee the accuracy of a candidate’s representations about their qualifications, experience or eligibility to work. Background verification, reference checks and confirming right-to-work remain your responsibility before employment.

Limitation of liability

  1. 01Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
  2. 02Neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings.
  3. 03Subject to the above, Workfly’s total aggregate liability arising out of this agreement is limited to the fees actually paid by you to Workfly in the twelve months preceding the event giving rise to the claim.

Indemnity

You indemnify Workfly against claims arising from your unlawful or discriminatory treatment of a candidate, your misuse of candidate or employee data, your breach of the acceptable use clause, or your failure to hold a lawful basis for data you loaded into a Product.

14Term, suspension and termination

  • Either party may terminate for convenience on written notice, subject to fees already accrued.
  • Either party may terminate immediately on the other's material breach that is not remedied within 30 days of written notice, or on insolvency.
  • Termination does not affect a Mandate already activated, or fees payable on a Joining that occurs after termination where we made the introduction.
  • On termination of a Product subscription we return or delete your data on your instruction, subject to any statutory retention obligation.

15Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control — including natural disaster, epidemic, war, civil unrest, strike, failure of public infrastructure or telecommunications, or an act of government. The affected party must notify the other promptly and resume performance as soon as it reasonably can. Payment obligations already accrued are not excused.

16Governing law, jurisdiction and disputes

This agreement is governed by the laws of India.

  1. 01The parties will first attempt to resolve any dispute by good-faith discussion between senior representatives within 30 days of written notice.
  2. 02Failing that, the dispute is referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue is [City], and the proceedings are in English.
  3. 03Subject to the arbitration clause, the courts at [City], [State] have exclusive jurisdiction.

If you are a consumer

Nothing here removes any right you have under the Consumer Protection Act, 2019, including the right to approach a consumer commission. Where that Act conflicts with this clause, it prevails.

17Grievances and contact

We publish a Grievance Officer as required under the Consumer Protection (E-Commerce) Rules, 2020 and the rules under the Information Technology Act, 2000.
